Terms of Service

1. About these terms

These terms are an agreement between you and ebs Chartered Accountants (EBSCA Accountants LLC) (“ebs”, “we”, “us”, “our”) and govern your use of the ebs Pulse platform (“the Service”). By accessing or using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is a private business tool provided to organisations and their staff. You may be using it as an employee or authorised user of an organisation that has an ebs Pulse account (“your organisation”). If you are using the Service on behalf of an organisation, you confirm you are authorised to accept these terms for that purpose.

2. Who can use the Service

ebs Pulse is invitation-only. There is no public sign-up. You may use the Service only if an administrator has created an account for you and invited you. You must be old enough to enter into this agreement and to work in a professional capacity. The Service is not intended for personal or consumer use, and not for use by children.

3. Your account

  • You are responsible for keeping your sign-in details secure and for all activity that happens under your account.
  • Do not share your account or let anyone else use it.
  • Keep your contact details accurate.
  • We strongly recommend enabling two-factor authentication where available.
  • Tell your administrator or us promptly if you believe your account has been accessed without your permission.

Administrators can create, manage, suspend, and deactivate accounts within their organisation. Your access depends on the role assigned to you and can be changed or removed by an authorised administrator.

4. Acceptable use

You agree to use the Service only for legitimate business purposes and in line with your organisation’s instructions and applicable law. You must not:

  • access, or try to access, data or areas of the Service you are not authorised to use;
  • interfere with, disrupt, probe, or attempt to break the security of the Service or its infrastructure;
  • upload or process content that is unlawful, or that you do not have the right to process;
  • introduce malware or other harmful code;
  • copy, scrape, or extract data from the Service except through features provided for that purpose (such as the built-in export tools) and as permitted by your organisation;
  • use the Service to build a competing product, or reverse-engineer it except to the extent the law does not allow that restriction; or
  • misrepresent your identity or your authority to act.

5. Your organisation’s data and responsibilities

The Service lets your organisation store and manage business and client records. As between you and ebs, your organisation owns and is responsible for the data it puts into the Service, and for making sure it has the right to collect and process that data — including any client or third-party personal information. You must handle client and confidential data responsibly and only for the purposes your organisation permits. ebs processes that data on your organisation’s behalf, as described in the Privacy Policy.

6. Availability and changes to the Service

We work to keep the Service available and reliable, but we do not guarantee it will always be uninterrupted or error-free. We may perform maintenance, and we may add, change, or remove features over time. We may occasionally suspend access where necessary — for example for maintenance, security, or to protect the Service or its users.

7. Intellectual property

The Service, including its software, design, and content we provide, belongs to ebs (or our licensors) and is protected by law. These terms do not give you any ownership of the Service. Your organisation’s own data remains your organisation’s; using the Service does not transfer ownership of that data to us.

8. Third-party sign-in and services

If you choose to sign in with Microsoft or Google, your use of those accounts is governed by their own terms and privacy policies. We rely on a small number of third-party providers to run the Service (listed in our Privacy Policy). We are not responsible for the acts or omissions of those providers beyond what our agreements with them and applicable law require.

9. Suspension and termination

We or your organisation’s administrators may suspend or end your access to the Service at any time — for example if you breach these terms, if your role or employment changes, or if we need to protect the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement. The Service supports your organisation’s work but does not itself provide accounting, tax, legal, or other professional advice, and you should not rely on it as a substitute for professional judgement.

11. Limitation of liability

To the fullest extent permitted by law, ebs will not be liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Nothing in these terms limits liability that cannot be limited by law.

12. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you within the app. Continuing to use the Service after a change means you accept the updated terms.

13. Governing law

These terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai will have jurisdiction over any dispute, without affecting any mandatory rights you have under applicable law.
